4. Contractual relationships

5. Use of the platform by end customers
End customers can use the platform to:

6. Prices and Payment Processing

8. Cancellations and Refunds
Orders can only be cancelled as long as the restaurant has not yet started preparing the order.
Refunds are issued exclusively by the respective restaurant.
SparissimoFood accepts no liability for refunds or complaints.
9. Reviews and content
Customers can leave ratings and comments about restaurants.
It is prohibited:

to spread offensive content
to publish illegal content
SparissimoFood reserves the right to remove content.
10. Platform availability
SparissimoFood strives to ensure the platform is available with as few interruptions as possible.
However, there may be limitations due to:

external interference
There is no entitlement to permanent availability.
11. Liability
SparissimoFood is only liable for damages caused intentionally or through gross negligence.

20. Restaurant contents

Restaurants grant SparissimoFood the right to publish this content on the platform.
21. Contract duration
The partnership agreement can be concluded for an indefinite period or for a specific term.
Both parties can terminate the contract with 30 days' notice.
22. Closure of restaurants
SparissimoFood reserves the right to close restaurants if:

Platform fees and commissions

Sparissimo Food LTD (hereinafter referred to as the “Platform”)

the restaurant partner
1. Fee structure
The following fees may apply for using the platform:
Monthly software fee
Transaction fee per order
Marketing fees
Additional modules or premium features
The exact fee structure is determined in the individual tariff plan.
2. Transaction fee
SparissimoFood may charge a commission on every order generated through the platform.
The commission is, for example:

3. Payment processing

White-Label Software License Agreement
between
Sparissimo Food LTD (hereinafter referred to as "Licensor")

the restaurant partner (hereinafter referred to as "Licensee")
1. Subject of the license
The licensor provides the restaurant with a white-label version of the ordering software.
This can be integrated into:
own restaurant websites
mobile Apps
Social media channels
2. Usage rights
The licensee receives a non-exclusive, non-transferable right to use the software.
The software remains the property of SparissimoFood.
3. Using the software
The software may be used for:

Reservations
Customer management
Order management
4. Restrictions
It is not allowed:
to modify the source code
to resell the software
to copy the software
5. Maintenance and Updates
SparissimoFood presents:

6. Contract duration
The license is valid as long as the restaurant contract is active.
Termination of the contract also terminates the use of the software.
7. Liability
SparissimoFood is not liable for lost revenue due to technical malfunctions.
